ROBERT W. ANESTIS has been, since January 1, 1999, Chairman,
President and Chief Executive Officer of Florida East Coast
Industries, Inc., a holding company based in St. Augustine,
Florida, with interests in railroad, real estate and telecom
businesses. Mr. Anestis has been active in the railroad industry
for more than 20 years as an attorney, an executive, a financial
advisor and a principal. From 1982 to 1986, he served as
Executive Vice President and Chief Planning and Financial Officer
and then as President of Guilford Transportation Industries,
Inc., and as Director of Guilford and its subsidiary railroads,
Maine Central, Boston and Maine and Delaware and Hudson. From
1986 through 1998, Mr. Anestis was President of Anestis &
Company, a Westport, Connecticut-based investment banking and
financial advisory firm. Mr. Anestis has served on the boards of
a number of companies in which he holds investment positions,
including Champion Enterprises, Inc., Vector Distributors, Inc.,
and CHB Capital Partners, LP. He is also a member of the Yale
University Development Board. Mr. Anestis received his BA degree
from Yale University in 1967 and his MBA and JD degrees from
Harvard University in 1971. He served as a Captain in the U.S.
Air Force in 1973 and 1974. From 1971 to 1982, he practiced law
with Kirkpatrick & Lockhart in Pittsburgh, Pennsylvania (becoming
a partner in 1977), with a practice centered on acquisitions and

ROBERT H. NAZARIAN was named Executive Vice President, Chief Financial
Officer and Treasurer, Florida East Coast Industries, Inc. (FECI), on
July 27, 1999. Previously, Mr. Nazarian was Treasurer of Northwest
Airlines, Inc., after serving as Chief Financial Officer of Air New
Zealand Ltd. and Group Financial Controller of Lion Nathan Australia
Ltd. Mr. Nazarian began his career at KPMG in Boston and served in a
variety of financial positions throughout the world for Pepsi-Co, Inc.
In previous positions, he had responsibility for capital markets and
banking activities, investor relations, information systems, and
corporate development activities as well as for the full range of
control functions. At FECI, Mr. Nazarian's duties will include
responsibility for those activities as well as hands-on financial
involvement with FECI's new Orlando-based telecommunications subsidiary,
FEC Telecom, Inc. Mr. Nazarian earned his Master's degree from the
Harvard Graduate School of Business Administration, his Bachelor's
degree in Economics (Magna Cum Laude) from New York University and is a
