STEVE MILLER was appointed Chief Executive Officer and President of
Sunterra Corporation in September of 1998. In addition, he will serve
on the Board of Directors and the Executive Committee of the Board.
Before joining Sunterra, Mr. Miller was RCI's Chief Executive Officer.
He joined RCI in January 1991 as Senior Vice President and Chief
Financial Officer for RCI worldwide. He was promoted to Executive Vice
President in 1993. In that position, Mr. Miller directed several North
America business units, including finance, human resources, planning and
development, marketing and legal. In April 1995, he was named President
of RCI and charged with leading the company's North American operations.
Prior to RCI, Mr. Miller was a partner with Ernst & Young. He directed
the firm's Washington, D.C. ' based national tax practice in employee
benefits and compensation: served as partner in charge of tax services
for the Indianapolis office; and was national director of the company's
actuarial, benefits and compensation consulting services in New York. In
1995, Mr. Miller served as a delegate to the White House Conference on
travel and Tourism. He also served as RCI's representative on the World
Travel and Tourism Council, a coalition of 70 chief executive officers
and other top-ranking travel and tourism officials. He is a member of
the American Resort Development Association's Board of Directors (ARDA)
and Executive Committee. In April 1998, Mr. Miller received ARDA's
highest honor, the ARDA leader of the year award for his contributions
to the timeshare industry. Mr. Miller received a Bachelor of Science
degree in Business Management in 1970, a Juris Doctorate in 1973 and an
M.B.A. in 1975, each from Indiana University. He is a board member of
the International School of Indiana, the Indiana University School of
Law-Indianapolis, Board of Visitors, the Indiana University Dean's
Advisory Council and the Restaurant, Hotel, Institutional and Tourism
Management Industry Advisory Committee at Purdue University. Profile
JIM NOYES is a Director and Chief Operating Officer of Sunterra, where
he started in July 1996. He has nearly 25 years in marketing, sales and
general management in the travel, leisure and entertainment fields. He
followed a short stint in cable television with 5 years at Wilson
Sporting Goods where he was Vice President of Marketing for the Golf
Division. In 1980, Mr. Noyes began his career in leisure travel
subsequently building a small, single-product company (MTI Vacations)
into an industry-leading diversified services enterprise with interests
in vacation packaging, travel technology and specialized telemarketing.
He is also founding partner of a marine-based enterprise with dinner
cruise ships in Chicago, Washington D.C. and Boston. Mr. Noyes is a
Director of Preview Travel, Inc. and Ball Horticultural Co. In 1995,
'Tour & Travel News' named Mr. Noyes as one of the travel industry's
'Top 25 Most Influential People'. Mr. Noyes is a graduate of Dartmouth
