JAMES K. MCCORMICK joined Harbinger as Chief Financial Officer and
Secretary in March 1999. Prior to Harbinger, Mr. McCormick was CFO,
Treasurer and Secretary at KNOLOGY Holdings, Inc. ('Knology'), a
Broadband telecommunications company providing video, voice and data
services to residential customers in four Southeastern states. In his
capacity at Knology, Mr. McCormick managed the Accounting, Finance, MIS
and Human Resource departments as well as the risk management, investor
relations, banking relations and capital funding areas. While at
Knology, McCormick raised over $300MM of debt and equity capital to fund
the company's aggressive expansion strategy, and supervised the planning
and installation of the company's customer care, construction cost
management and financial information systems. From November 1992 to
September 1997, Mr. McCormick was Corporate Controller/Treasurer of
United Dairy Farmers, Inc. ('UDF'), a retailer/manufacturer operating in
seven Midwestern states. In addition to supervising the traditional
Accounting and Finance Departments at UDF, Mr. McCormick managed the
employment practices and benefits, inventory control/cost accounting,
cash management, mortgage and revolver financing, capital budgeting and
risk management programs. Mr. McCormick also served as Director of
Finance at American Sign and Marketing Services, Inc. from June 1991
until November 1992. Prior to 1991, Mr. McCormick served in various
capacities at Arthur Andersen Worldwide. From February 1989 until
January 1991, he served as Consulting Manager in the Strategic Services
Division of Andersen Consulting's Melbourne, Australia office, focusing
primarily on organizational structuring, profit improvement and M&A
feasibility. From October 1984 to February 1989, he also served as
Senior Auditor in the Emerging Business Division at Arthur Andersen & Co
in Atlanta, Georgia. Mr. McCormick is a CPA (Georgia, 1985) and a
graduate of Florida State University (BS ' Accounting, 1984, Summa Cum
