BARRY RUTCOFSKY has been the Co-Chairman of Take-Two Interactive
Software, Inc., since July 2000 and served as its President from July
1999 through July 2000. Prior to joining the company, he was a partner
in the corporate department at the law firm of Tenzer Greenblatt LLP,
which he joined in April 1987. Mr. Rutcofsky received his law degree
