A.J.C. SMITH has been Chairman and Chief Executive Officer of Marsh &
McLennan Companies, Inc. since 1992. He has been employed by the company
in various capacities since 1961 and has been a member of its Board of
Directors since 1977. Much of Mr. Smith's career was spent as a
consultant and actuary employed by the principal company in the Marsh &
McLennan Companies consulting group, William M. Mercer, Incorporated, of
which he was president and chief executive officer form July 1975 until
he became chief executive officer of Marsh & McLennan's Consulting &
Financial Services Group in March, 1982. Mr. Smith is a Trustee of The
Putnam Funds, the Central Park Conservancy, the Carnegie Hall Society,
Inc., The Economic Club of New York, the Educational Broadcasting
Corporation, the U.S. Chamber of Commerce and the Board of Overseers of
the Joan and Sanford I. Weill Graduate School of Medical Sciences of
Cornell University. Mr. Smith was born and educated in Scotland. He
became a Fellow of the Faculty of Actuaries in 1959. He lived in Canada
for many years before moving to New York in 1974. He now lives in

Mr. Smith: MMC is the parent of Marsh, Putnam and Mercer. Marsh, of
course, is the leading risk manager and
