STEPHEN D. CHUBB, a Founder of Matritech, Inc., has been Chairman and
Chief Executive Officer since the company's inception in 1987. From 1984
to 1986, Mr. Chubb served as President and Chief Executive Officer of T
Cell Sciences, Inc. (now Avant, Inc.), a publicly traded biotechnology
company. Prior to 1984, Mr. Chubb was President and Chief Executive
Officer of Cytogen Company, also a publicly traded biotechnology
company. He currently serves as a Director of Charles River
Laboratories, Inc., and i-STAT Corp. Mr. Chubb spent seven years at
Baxter International where for two years he served as the President of
the Hyland Diagnostics Division. He is also a member of the Board of
Trustees of Mount Auburn Hospital in Cambridge, MA. He received an MBA
degree from Kellogg School, Northwestern University and a Bachelor of
Science degree from the United States Naval Academy. He is a Certified

Mr. Chubb: Matritech is over 10 years old and has been public for nine
years. We develop dominant cancer
