PETER J. VERRILL is Senior Executive Vice President and Chief Operating
Officer of Banknorth Group, Inc. Mr. Verrill, a Certified Public
Accountant, has held similar positions at the company and its
predecessor banks for the past 25 years. From 1988 to 1996, Mr. Verrill
served as Executive Vice President, Treasurer and CFO of the company and
its lead bank, Peoples Heritage Bank. Effective January 1, 1996 he took
on the additional role of Chief Operating Officer of both the company
and the lead bank. Beginning in 1997 Mr. Verrill has worked exclusively
for the company. His current responsibilities at the company include
management of all financial matters, mergers and acquisitions, strategic
planning, asset/liability management, risk management and information
technology. Mr. Verrill began his career as an Accountant with the firm
of Ernst & Young, where he became a Senior Accountant and Supervisor. He
is a graduate of the University of Southern Maine with a BS Degree in
Business Administration with an Accounting major. Mr. Verrill is a
Director and Chairman of the Board for The Cromwell Disabilities Center;
a Director and Treasurer of TrainRiders Northeast; a Director of the
Pine Tree Council Boy Scouts of America; and a Director of The Ronald
McDonald House. He is a former Director of the United Way of Greater
Portland and a Founding Member of the United Way Foundation. He is also
a member of the Maine Society of Public Accountants and the American
