MARK H. DUNAWAY, a founder of PNI Technologies, Inc. (formerly Preferred
Networks, Inc.), has been Chairman of the Board of Directors and Chief
Executive Officer of the company since 1991. From 1986 to 1994, he
served as the Chairman and Chief Executive Officer of The Beeper Company
of America, Inc., a company he founded and was sold in 1994 to Arch
Communications Group, Inc. Mr. Dunaway was also a founder of Favor
Broadcasting, Comlite Systems and Omega Environmental. In 1987, Mr.
Dunaway founded Dunaway Enterprises, Inc., a consulting company which
supplied management consulting services to British Telecom's paging
operations in the United Kingdom and other companies, and served as its
Chief Executive Officer and Chairman from 1987 to 1994. Mr. Dunaway also
served as President of British Telecom's paging subsidiary in New York
and Chairman of the Board of Directors of Metrocast Inc. in San Diego,
one of British Telecom's investments in the United States. From 1982 to
1985, Mr. Dunaway served as President of A Beeper Company Associates, a
national paging and cellular service company that he founded. A Beeper
Company Associates served as the sales and marketing agent for paging
services for 14 of the 22 domestic Bell operating companies and as the
cellular service reseller for all of the domestic Bell operating
companies, until its sale to Bell Atlantic Corporation in 1985. Mr.
Dunaway has served on a number of committees for the Personal
Communications Industry Association ('PCIA'), the paging industry trade
association. Additionally, he has been Chairman/Trustee of Pace Academy,
a private school in Atlanta, Georgia and has been a scoutmaster with Boy
Scouts of America for eleven years. He is currently on the Board of
Directors for the Boys and Girls Clubs of Metro Atlanta and serves as
the 2000-2001 Chairman of the Annual Champions for Youth Campaign and as
