Margaret Grayson – V-one Corporation (vone)

MARGARET E. GRAYSON was elected President and CEO of V-ONE Corporation in November 2000. Ms. Grayson had been Senior Vice President and CFO of V-ONE since July 1999, and was elected to the Board of Directors in August 1999. Prior to joining V-ONE Corporation, Ms. Grayson served as Vice President of Finance and Administration and CFO for SPACEHAB, Inc., where she was head of the financing activities, including private placements of equity, the initial public offering, and debt placements, aggregating $150 million in new capital. Immediately prior to joining SPAB, Ms. Grayson served as Chief Financial Officer for CD Radio, Inc., in Washington DC, an early entrant in the satellite radio mobile communications market. In addition to establishing its financial controls and successfully completing its initial public offering, Ms. Grayson negotiated for CD Radios' spectrum allocation, competitor coordination, and government rule-making. Previously, Ms. Grayson served as a Senior Executive and Consultant to high technology start-up companies. She was principal financial advisor for raising private and public financing, investor relations, structuring and negotiating joint ventures, and completing five successful acquisitions, both domestic and international. Ms. Grayson is on the Board of Ronbotics Corporation and the Advisory Board of Celsion Corporation. Ms. Grayson: V-ONE is a corporation that was founded in 1993. We are a

publicly traded company on NASDAQ
