JAY D. KRANZLER was appointed as Chief Executive Officer and Vice
Chairman of Cypress Bioscience in December 1995. In April 1998, Dr.
Kranzler was appointed as Chairman of the Board. From January 1989 until
August 1995, Dr. Kranzler served as President, Chief Executive Officer
and a Director of Cytel Corporation, a publicly held biotechnology
company. Dr. Kranzler has been an adjunct member of the Research
Institute of Scripps Clinic since January 1989. Before joining Cytel,
from 1985 to January 1989, Dr. Kranzler was employed by McKinsey &
Company, a management consulting firm, as a consultant specializing in
