F.H. (DICK) MOELLER joined VTEL as Chief Executive Officer, President
and Director in October 1989. He became Chairman of the Board in March
1992. Mr. Moeller's strengths lie in his diverse experience in both
large and small company high technology environments. He currently
serves as Chairman and CEO of VTEL Corporation and is credited with
completing the transaction of merging the former Compression Labs,
Incorporated with VTEL in May 1997. That transaction effectively doubled
the size of the company. In May 1992 he was selected as a finalist for
Ernst and Young's Austin Entrepreneur of the Year award for his
contributions at VTEL. From May 1982 to October 1989, Mr. Moeller served
as the founder and president of ProfitMaster Computer Systems, Inc., a
software firm specializing in real-time financial management systems for
point-of-sale applications. Prior to founding ProfitMaster, Mr. Moeller
spent 12 years with Texas Instruments during which he held a variety of
manufacturing, marketing and product planning positions. His last
position with TI was as advanced systems manager of the Computer Systems
Division, where he had full profit/loss responsibility for the business
