Scott L. Thompson

SCOTT L. THOMPSON has served as Senior Vice President, Chief Financial
Officer and Treasurer of Group 1 Automotive since the Company’s founding
in December 1996. From 1991 to 1996, Mr. Thompson served as Executive
Vice President, Operations and Finance for KSA Industries, Inc., a
billion dollar enterprise with interests in automotive retailing, energy
and professional sports. Among Mr. Thompson’s responsibilities within
the KSA group of companies, he served as a Vice President and director
of three Houston-area automobile dealerships with aggregate annual
revenues of $180 million. Additionally, in connection with his position
at KSA Industries, Inc. he served as a director of Adams Resources
Energy, Inc., a public oil and gas company. He is a CPA, and from 1980
to 1991, he held various positions with Arthur Andersen LLP.
