Donald V. Rhodes

DONALD V. RHODES is Chairman, President and Chief Executive
Officer of Heritage Financial Corporation as well as Chairman and
Chief Executive Officer of Heritage Bank. Since 1986 he has been
Chairman and Chief Executive Officer of Central Valley Bank, a
subsidiary of Heritage which was acquired on March 5, 1999. Mr.
Rhodes joined Heritage Bank in 1989 as President and Chief
Executive Officer and was elected Chairman in 1990.
