Carl W. Womack

CARL W. WOMACK has been with Pacific Sunwear of California, Inc. for 15
years and has served as Senior Vice President and Chief Financial
Officer since October of 1994. He has served as Secretary of the company
since 1992. Prior to joining the company, Mr. Womack served in several
positions in public and private accounting.
