KEITH E. PRATT was promoted to Vice President and Chief Financial
Officer of Advanced Fibre Communications, Inc. in December 1999. He
previously served as AFC's Director of Corporate Development. Mr. Pratt
has a strong background in business strategy, marketing, and
acquisitions. Before joining AFC in September 1997, he was Director of
the Strategy and Business Development Group for Pacific Telesis. Prior
to working for Pacific Telesis, Mr. Pratt was a Senior Associate at
Booz, Allen & Hamilton. He is a graduate of Cambridge University in
England, with a Bachelor of Science degree in Engineering. Mr. Pratt
