William A. Searles

WILLIAM A. SEARLES has been a Director of American Physicians Service
Group, Inc., since July 1989. He has been an independent business
consultant since 1989. Prior to that he spent 25 years with various Wall
Street firms, the last 10 of which were with Bear Stearns (an investment
banking firm) as an Associate Director/Limited Partner. He has served as
a Director of Prime Medical Services, Inc., since October 1989, as
Chairman of the Board of Directors of APS Investment Services, Inc.,
since May 1998, as Chairman of the Board of Directors of Uncommon Care,
Inc., since September 1998, and as a Director of Probex Corp. since
December 1999.
