R. James Kelly

R. JAMES KELLY is Vice Chairman, Chief Financial Officer and
Administrative Officer of Family Dollar Stores, Inc. and a member of the
Board of Directors. Mr. Kelly was employed by Family Dollar in January
1997. Mr. Kelly had served the company for the previous four years as a
Partner of Price Waterhouse LLP, the company’s independent accountants.
During Mr. Kelly’s 24 years with Price Waterhouse LLP, he worked with a
broad range of clients while specializing in services to consumer
products companies. Additional leadership, marketing and administrative
skills were gained during his tenure as national Director of Price
Waterhouse’s Middle Market and Fast Growing Companies division, followed
by his assignment as Managing Partner of Price Waterhouse’s Carolinas
operations. He received a BS and MA from the University of Alabama.
