RICHARD A. KAY has served as Chairman, President and Chief Executive
Officer of OTG Software, Inc., since the company's inception in 1992. In
March 2000, Mr. Kay guided the company through its initial public
offering that raised more than $100 million. Mr. Kay also successfully
orchestrated a secondary offering, raising an additional $70 million.
OTG Software was recognized by Computerworld as one of the Top 100
'Emerging Companies to Watch in 2000.' Deloitte & Touche's Technology
Fast 50 has ranked OTG as the 25th fastest growing technology company in
Maryland. In 2001, Mr. Kay was selected as Entrepreneur of the Year by
both the Maryland High Technology Council and KPMG - the only person to
win both awards in the same year. Prior to founding OTG, Mr. Kay co-
