R. JAMES KELLY is Vice Chairman, Chief Financial Officer and
Administrative Officer of Family Dollar Stores, Inc. and a member of the
Board of Directors. Mr. Kelly was employed by Family Dollar in January
1997. Mr. Kelly had served the company for the previous four years as a
Partner of Price Waterhouse LLP, the company's independent accountants.
During Mr. Kelly's 24 years with Price Waterhouse LLP, he worked with a
broad range of clients while specializing in services to consumer
products companies. Additional leadership, marketing and administrative
skills were gained during his tenure as national Director of Price
Waterhouse's Middle Market and Fast Growing Companies division, followed
by his assignment as Managing Partner of Price Waterhouse's Carolinas
operations. He received a BS and MA from the University of Alabama. Profile
GEORGE R. MAHONEY, JR is Executive Vice President of Family Dollar
Stores, Inc., and a member of the Board of Directors. Mr. Mahoney was
employed by the company as General Counsel in October 1976. He was
elected Vice President-General Counsel and Corporate Secretary in April
1977, Senior Vice President-General Counsel and Corporate Secretary in
January 1984 and Executive Vice President-General Counsel and Corporate
Secretary in October 1991. Mr. Mahoney has been a member of the Board of
Directors of the company since 1987. He also is the investor relations
contact for the company. Before joining Family Dollar, Mr. Mahoney was
an attorney with the law firm of Simpson Thacher & Bartlett in New York
City. He has a BA degree from Wesleyan University and a JD from Duke
