J. SPENCER DAVIS joined Korn/Ferry International this year as Vice
President, Investor Relations. Mr. Davis came to Korn/Ferry from Litton
Industries, Inc., after that $6 billion company was sold to Northrop
Grumman. At Litton he was Vice President, Corporate Communications and
Investor Relations. He was also elected an executive officer, member of
the Management Committee, and a member of the Pension Investment
Committee. He brings 20 years of experience in investor relations,
corporate communications, strategic planning, and management consulting
to Korn/Ferry. Mr. Davis previously worked for Computer Sciences
Corporation, a leading global information technology services company,
where he was Director of Investor Relations. Prior to CSC, he served as
Vice President, Media and Investor Relations for Helian Health Group,
Inc. Earlier, he was the investor relations and strategic planning
officer for Caesars World. As a management consultant, he specialized in
investor relations and strategic planning for such diverse client
companies as Times Mirror, Pacificare and Lockheed. He also worked in
the financial industry as a broker and later as a portfolio manager for
Dean Witter, E.F. Hutton, and Merrill Lynch. Mr. Davis is a graduate of
Occidental College in Los Angeles, California. Mr. Davis is past
President of the Southern California Chapter of the National Investor
Relations Institute and has taught several symposia on fundamental and

TWST: Would you begin with a brief historical sketch of Korn/FerryInternational and a picture of what the company is doing now?
Mr. Davis: Let me start with a brief overview of the company.
