BRUCE A. SHEAR has been President, Chief Executive Officer and a Director of
PHC, Inc., since 1980. From 1993 to 1996, he served as Treasurer of the company,
which does business as Pioneer Behavioral Health. Prior to being named President
and CEO, Mr. Shear served as PHC's Vice President, Financial Affairs, from 1976
to 1980. Mr. Shear has served on the board of governors of the Federation of
American Health Systems for over 15 years. He received an MBA from Suffolk
University in 1980, and a B.S. in accounting and finance from Marquette
University in 1976. Since November 2003, Mr. Shear has been a member of the
board of directors of Vaso Active Pharmaceuticals, Inc., which sells over-the-
counter pharmaceutical products incorporating transdermal drug delivery
