STEVEN J. HEWITT is the Senior VP and CFO of Commercial Intertech
Corporation. Mr. Hewitt graduated from Youngstown State University with
a Bachelor's degree in Business Administration which he attained while
employed at Commercial as a laborer in the foundry, storeroom clerk, a
schedule clerk in the hydraulics gear department, and a cost analyst in
the finance group. He became supervisor of cost accounting in 1974, five
years after joining the Company, and subsequently held positions as
supervisor of corporate financial analysis and division controller for
Youngstown-based operations. He was on special assignment in Luxembourg
between 1973 and 1974. He was elected controller of the corporation in
1981, Vice President in March 1996, and Senior Vice President and Chief
Financial Officer in December 1996. Mr. Hewitt is a member of Institute
of Management Accountants and Financial Executives Institute. He is
presently a member of the United Way Finance Committee and former
treasurer and financial committee chairman for Goodwill Industries of
Youngstown. Mr. Hewitt is a resident of Liberty Township and is married

STEPHEN J. PERKINS is the President and COO of Commercial Intertech
Corporation. He received his Bachelor's degree in Industrial Engineering
from the University of Pittsburgh and his MBA from the University of
Chicago. Before joining Commercial in 1999 as President and Chief
Operating Officer, he was President and Chief Executive Officer of
Aftermarket Technology Corporation. From 1979 to 1996, he was with
Senior Flexonics Inc., where he served as President and Chief Executive
from 1983 to 1996. Earlier in his career, he held manufacturing and
engineering assignments with both Copperweld Corporation and U.S. Steel
Corporation. Mr. Perkins resides in Canfield, Ohio with his wife and two
