Alan C. Henderson

ALAN C. HENDERSON was named Chief Executive Officer and Director
of RehabCare Group, Inc., effective June 1, 1998. Prior to that,
Mr. Henderson was Executive Vice President and Chief Financial
Officer of RehabCare from March 1991 until June 1, 1998, and was
Treasurer of the company from March 1990 through June 1991. From
June 1991 through June 1998, Mr. Henderson also served as
Secretary of the company. He joined CompCare, the former parent
company of RehabCare, as Chief Financial Officer in February 1990
and also served as Executive Vice President and Treasurer of
CompCare until July 1991. Prior to joining CompCare, Mr.
Henderson was Vice President Finance with Sverdrup Corporation
(engineering, construction and real estate development), where he
was employed from 1983. Earlier in his career Mr. Henderson owned
and managed a corporate financial consulting firm, and was
employed for several years each by Midland Mortgage Investors
(NYSE listed real estate investment trust), KPMG (international
CPAs), and IBM. Mr. Henderson is a director of General American
Capital Corporation (a registered investment company), Angelica
Corporation and Reinsurance Group of America, Inc., and is a
member of the St. Louis Corporate Board of US Bancorp. Mr.
Henderson holds a Bachelor of Arts in Economics from Westminster
College and a Master of Business Administration in Finance from
the Wharton School of the University of Pennsylvania. Mr.
Henderson serves on the Boards of the Herbert Hoover Boys and
Girls Club, the St. Louis Club and the Corporate Partners of the
St. Louis Art Museum, the Executive Boards of Fair St. Louis and
the St. Louis Area Council of the Boy Scouts of America, and as a
Trustee of Westminster College. He has formerly served on the
Board of the Clayton (Missouri) Chamber of Commerce and as
Chairman of the Planning and Zoning Commission of the City of
Frontenac (Missouri). Mr. Henderson was recently presented with
the Entrepreneur of the Year award by the St. Louis region of
Ernst & Young, and was nominated for their national award.
